Terms & Conditions for FabriQ ERP

1. Acceptance of These Terms

These Terms and Conditions govern your access to and use of the FabriQ ERP website, software, dashboards, mobile experiences, support channels, and related services provided by Ali & Sons under the FabriQ ERP brand.

By creating an account, accessing the platform, purchasing a license, or using the service, you acknowledge that you have read and agree to these terms. If you are using FabriQ ERP for a business or organization, you confirm that you have authority to accept these terms on its behalf.

2. What FabriQ ERP Provides

FabriQ ERP is business-management software designed for garment and related businesses. Depending on your plan and configuration, features may include karigar and labour records, piece-rate calculations, advances, salary summaries, fabric and product inventory, billing, cloud POS, customer and vendor ledgers, cheque management, cashbook, bank records, reports, audit history, offline operation, and synchronization.

Features, availability, storage limits, support levels, and license conditions may differ between free and paid offerings and may evolve as the product develops.

3. Accounts and Authorized Users

You are responsible for providing accurate registration information and for keeping login credentials confidential. You should not share credentials with unauthorized people or allow another person to use your account in a way that violates these terms.

If you are the account owner or administrator, you are responsible for managing user access, permissions, and the business data entered by your team. You should promptly disable access for people who are no longer authorized to use the account.

4. Your Business Data

You retain responsibility for the business information you enter into FabriQ ERP, including customer records, vendor records, inventory, invoices, payment history, karigar records, employee information, and accounting entries. You represent that you have the right and authority to provide such information to the service.

You are responsible for reviewing important entries and reports, maintaining appropriate internal controls, and keeping any records that you are legally required to retain. FabriQ ERP is a software tool and does not replace your own accounting, tax, legal, employment, or management judgment.

5. Acceptable Use

You agree to use FabriQ ERP lawfully and only for legitimate business purposes. You must not:

• Attempt to bypass authentication, security controls, usage limits, or access restrictions.
• Access another customer's data without authorization.
• Upload malware, harmful code, or content intended to disrupt the service.
• Use the platform to facilitate fraud, deception, harassment, unlawful transactions, or infringement of another party's rights.
• Reverse engineer, copy, resell, or exploit protected software components except where applicable law expressly permits it.
• Use automated activity that places unreasonable load on the service or interferes with normal operation.

6. Free Accounts and Paid Licenses

FabriQ ERP may offer a free account or trial-style access as described on the website. Free access may be subject to reasonable usage limits, feature limitations, or changes over time.

Paid licenses are provided according to the applicable order, invoice, license key, subscription, or written commercial terms. Pricing, renewal, duration, and included features should be confirmed at the time of purchase. Unless a written agreement says otherwise, payments for completed license periods may not be refundable after the service has been activated or used.

7. Offline Operation and Cloud Sync

FabriQ ERP may support offline-first workflows for selected functions. When offline mode is available, some information can be stored locally and synchronized when connectivity returns. The exact behavior can vary by device, browser, operating system, feature, and version.

Offline capability should not be treated as an unlimited backup strategy. You remain responsible for reasonable device security, reliable connectivity when synchronization is needed, and reviewing synchronization status for critical business operations.

8. Billing, Records, and Financial Decisions

FabriQ ERP can help calculate totals, track transactions, manage ledgers, and present reports, but the business remains responsible for verifying the underlying data. Software-generated reports are operational tools and should be reviewed before being used for tax filings, statutory reporting, payroll decisions, customer disputes, or other consequential decisions.

Any pricing, taxes, payment obligations, refunds, or commercial arrangements displayed in the application are subject to the applicable offer or agreement in effect at the time.

9. Intellectual Property

FabriQ ERP software, branding, logos, interface design, text, graphics, code, documentation, and related materials are owned by or licensed to Ali & Sons and are protected by applicable intellectual-property laws.

These terms give you a limited right to use the service for your authorized business purposes. They do not transfer ownership of FabriQ ERP's software, brand, source code, or other intellectual property to you.

10. Availability, Maintenance, and Changes

We aim to keep FabriQ ERP reliable and available, but no online service can guarantee uninterrupted operation. Service may occasionally be affected by maintenance, upgrades, hosting issues, internet failures, device limitations, security events, or circumstances outside our reasonable control.

We may add, remove, modify, or replace features when necessary to improve the product, address security requirements, comply with law, or adapt to business needs. Where practical, significant changes may be communicated through product notices.

11. Third-Party Services and Links

FabriQ ERP may integrate with or link to third-party services such as messaging, hosting, analytics, payment, or communication providers. Your use of those services may be subject to separate terms and policies. We are not responsible for independent third-party services that we do not control.

12. Suspension or Termination

We may suspend or restrict access where reasonably necessary to address security risks, suspected abuse, non-payment, violation of these terms, or legal requirements. We may also discontinue a free account or particular feature in accordance with our product policies.

If access is terminated, you should export or otherwise retain business records you are legally required to maintain. Where reasonably possible and appropriate, we may provide notice before non-emergency termination.

13. Disclaimers

FabriQ ERP is provided as business software. To the extent permitted by applicable law, we do not guarantee that the service will be completely error-free, uninterrupted, or suitable for every particular business process.

You remain responsible for verifying data, calculations, reports, accounting treatment, tax treatment, payroll outcomes, inventory quantities, and other operational decisions. Nothing on the website is legal, tax, accounting, employment, or financial advice.

14. Limitation of Liability

To the maximum extent permitted by applicable law, FabriQ ERP and Ali & Sons will not be responsible for indirect, incidental, special, consequential, or punitive losses arising from use of or inability to use the service, including loss of profits, business interruption, or loss of data, except where such limitation is not permitted by law.

Where liability cannot lawfully be excluded, it will be limited to the extent permitted by applicable law and, where appropriate, to amounts paid for the relevant service during the period applicable to the claim.

15. Your Responsibility

To the extent permitted by law, you agree to be responsible for claims or losses arising from your misuse of FabriQ ERP, your violation of these terms, your unauthorized use of another person's information, or your infringement of a third party's rights.

16. Governing Law and Disputes

These terms are intended to be interpreted in accordance with applicable laws of Pakistan. Any dispute should first be raised with FabriQ ERP so that the parties have a reasonable opportunity to resolve it informally. Nothing in these terms removes any mandatory rights or remedies provided by applicable law.

17. Changes to These Terms

We may revise these Terms and Conditions as the service, business model, features, or legal requirements evolve. Updated terms will be posted on this page and may be accompanied by a revised date. Continued use of the service after an effective update constitutes acceptance of the revised terms to the extent permitted by law.
